1. Agreement and General Terms of Use

1.1 “You” (the individual or entity accepting this Agreement also referenced in the possessive as Your) agree to access and use the EmployerESource.com services and related documentation, Membership (as defined below), (collectively referenced herein as the ‘Membership”) on the terms of this License Agreement between You and EmployerESource.com (the ‘Agreement’). Your access to and/or use of the Membership signify Your agreement with these terms and conditions.

You must indicate Your agreement with these terms and conditions by clicking ‘I have read and agree to the user terms and conditions’ on this form below. If You are accepting these terms on behalf of a business entity, You represent that You have the authority to do so. If You do not agree to these terms and conditions, do not click ‘I have read and agree to the user terms and conditions’ on this form below and You will not be permitted to use the Membership.

1.2 EmployerESource.com reserves the right, in its sole discretion, to change any and all of the provisions of this Agreement at any time. EmployerESource.com reserves the right, in its sole discretion, to change, limit or discontinue any aspect, content or feature that is a part of the Membership. EmployerESource.com further reserves the right, in its sole discretion, to restrict the use of the Membership as well as suspend or revoke your rights to use the Membership based on EmployerESource.com’s belief that your use of the Membership violates that permitted by this Agreement or applicable law.

1.3 If you do not agree to the provisions of this Agreement or are not satisfied with the Membership, your sole and exclusive remedy is to discontinue your use of the Material and Services.

2. Membership

2.1 As used in this Agreement, the term “Membership” includes reports, handbooks, forms, letters, articles, consulting and website (collectively, ” Membership”)

3. License

3.1 The Membership is restricted and may only be used by (i) members and (ii) employees duly authorized by a business entity which is a Member (collectively referenced as “Authorized Users”). References to and Unauthorized Person means any entity or person who is not a Member or an Authorized User. By paying the Membership fees for the right to use the Membership You agree to the terms and conditions herein. Members and Authorized Users are hereby granted a limited, non-exclusive, non-transferable license to:

1. Use of the Membership to display material on a computer screen;

2. Make printouts of individual items for the use with Members employees; and

3. Any other use of Member require EmployerESource.com prior written consent which may be requested by email sent to Wendy@EmployerESource.com. At EmployerESource.com’s discretion, a new Membership agreement and additional fees may be required for additional use of the Membership.

3.2 All Services provided by EmployerESource.com are protected by copyright trademark and/or other applicable intellectual property and proprietary rights laws and are owned, controlled, and/or licensed by EmployerESource.com. You agree not to use any trademark or copyrighted material without express written permission of EmployerESource.com

3.2 You agree that you do not acquire any ownership rights in any Membership. Your further agree that all rights in the Membership and any of the content found on the Membershipo not granted to you under this Agreement are expressly reserved to EmployerESource.com and/or its licensors.

4. Fees and Payments

4.1 If you become a Member (“Member”) of any of the Material and Services, you will be bound by the payment terms set forth herein.

4.2 You acknowledge that you will pay EmloyerESource.com all such fees, charges, and applicable taxes for the Material and Services where enrollment in the Material and Services has been made using your credit card or other means, whether made by your personally or someone in the organization on your behalf. If you enroll in the Material and Services using a credit card, you certify to EmployerESource.com that you are at least 18 years age and that you are the cardholder of the credit card, or that you are expressly authorized by the card holder to enroll in the Material and Services. In any event, you expressly certify and represent that you are not under the age of 13.

4.3 You further acknowledge that your obligation to pay EmployerESource.com all such fees, charges, and applicable taxes for the Material and Services, and that you remain obligated to pay EmployerESource.com for the Material and Services regardless of whether the Material and Services is used or not. Your obligation to pay for the Material and Services begins on the date of signing this Agreement, not the date of your first use of the Material and Services.

4.4 The price you pay for a Membership is stipulated at the time you enroll in such Membership. Membership is billed out at seventy-five percent (75%) of the membership at the time of signing this Agreement. Upon completion and emailing out to You the first draft of Your employee handbook you will be billed out the final bill of twenty-five percent (25%). Membership is valid for twelve months from the signing of this Agreement. EmployerESource.com reserves the right to change the price for Membership after the first twelve months of this Agreement,

5. Termination

5.1 EmployerESource.com reserves the right to suspend or terminate Membership of any user reasonably suspected to have breached this Agreement, with or without notice and without further obligation.

6. Use of Membership

6.1 The Membership and any other information included in the Membership are provided for reference purposes only. They are not intended as a substitute for professional advice or judgment or to provide legal or other advice with respect to any particular circumstances.

6.2 Although efforts are made to keep Membership current, You are advised to obtain independent verification or professional advice before relying on the Membership in circumstances where loss or damage may result.

6.3 The Membership are provided on an ‘as is’ basis and EmployerESource.com excludes, to the extent permitted by law, all warranties, express or implied, including warranties relating to fitness for a particular purpose.

6.4 The information provided by EmployerESource.com along with the content on our website is provided for your private use and does not constitute legal advice. We do not review any information you provide us for legal accuracy or sufficiency, draw legal conclusions, provide options about your selection of forms, or apply the law to the fact of your situation.

Your use of the Membership does not create an attorney-client relationship between you and EmployerESource.com, or between you and any EmployerESource.com employee or representative. Unless you or otherwise represented by and attorney, you represent yourself in any legal matter you undertake through our Membership.
